Item 5.07 Submission of Matters to a Vote of Security Holders.
On June 7, 2021, Portman Ridge Finance Corporation (the Company) held its annual meeting of stockholders (the Annual Meeting). Set forth below are the four proposals voted upon by the Companys stockholders at the Annual Meeting, as described in the Companys Definitive Proxy Statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on April 23, 2021, together with the voting results for each proposal. As of April 12, 2021, the record date for the Annual Meeting, 75,195,141 shares of the Companys common stock were outstanding and entitled to vote.
Proposal 1. The Companys stockholders elected the following nominees to serve on the Board of Directors of the Company, each of whom will serve until the 2024 annual meeting of stockholders and until his successor is duly elected and qualifies: Alexander Duka, Ted Goldthorpe and Christopher Lacovara. Proposal 2. The Companys stockholders ratified the appointment of Deloitte & Touche LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2021, as set forth below.

Proposal 3. The Companys stockholders approved the grant of discretionary authority to the Board of Directors of the Company to amend the Companys Certificate of Incorporation to effect a reverse stock split of its common stock (the Reverse Stock Split) within the range of 1-5 to 1-15, the exact ratio (the Reverse Stock Split Ratio), if any, to be determined by the Board of Directors of the Company, as described in the Companys proxy statement.
